Due By

The first payment is due upon receipt. Because SSoD Commercial service is pre-paid, renewal payments are due on or before each term’s end date. A credit card must be held on file. So long as the invoices are paid on or before each term’s end date, there will be no interruption in service. SSoD will assess a service charge of 10% on all invoices received more than 15-days after the due date.

Terms & Conditions

Parties understand that the agreement shall remain binding unless renegotiated and agreed upon mutually as a result of changes in service, rates by the service provider, or other agreed-upon change of events. As to avoid any interruption in service, after the 2 year introductory offer, this agreement will automatically renew annually at $3000 AUD unless otherwise specified. Either party can terminate the contract from auto-renewing by providing 30 days written notice prior to the renewal date.

Indemnification

Except to the extent of negligence or willful misconduct of an indemnified Party, each Party will defend, indemnify and hold harmless the other Party and its officers, directors, employees, contractors, agents, successors and assigns from and against any and all liabilities, losses, claims, damages, demands, costs and expenses (including reasonable attorneys' experts' investigation and other related fees, costs and expenses) arising from or related to the other Party's breach or alleged breach of any term in this agreement which causes damage or injury to a third party.

Your company shall defend, indemnify and hold harmless Studio SWEAT and its officers, directors, employees, contractors, agents, successors and assigns from and against any and all liabilities, losses, claims, damages, demands, costs and expenses (including reasonable attorneys' experts' investigation and other related fees, costs and expenses) arising from or related to any actual third party claim, action, suit, demand, investigation, transmission or distribution thereof which infringes on the Intellectual Rights of a third party.

Your company is responsible for obtaining and complying with any Public Performance Licenses required for your company or its members to use any Studio SWEAT video content including audio performances therein.
